This License Agreement ("Agreement") is a legal contract between you ("User" or "Licensee") and WebOcean ("Licensor") governing your access to and use of design assets, templates, components, source files, and related digital materials (collectively, the "Resources") made available through the WebOcean website (the "Site").
By accessing, downloading, or using any Resources from the Site, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not access or use the Resources.

1. License Grant

WebOcean grants you a limited, non-exclusive, non-transferable, revocable license to use the Resources for personal and commercial purposes, strictly in accordance with the terms of this Agreement.

2. Permitted Uses

You may:

a. Use the Resources in unlimited personal, commercial, or client projects.

b. Modify, adapt, and customize the Resources to meet your project requirements.

c. Incorporate the Resources into websites, applications, and other digital products, provided the Resources are not distributed or accessible as standalone files.

3. Restrictions

You may not:

a. Resell, sublicense, distribute, share, or make available the Resources—whether in original or modified form—as standalone files or as part of any product library, UI kit, design system, or downloadable package.

b. Use the Resources to create derivative templates, themes, frameworks, or toolkits intended for resale, redistribution, or listing on marketplaces.

c. Archive, host, or store the Resources for future use outside the scope of an active license, subscription, or authorized access.

d. Use the Resources in any manner that violates applicable laws, regulations, or third-party rights.

e. Engage in excessive, automated, or abusive downloading, scraping, API misuse, or any behavior suggesting misuse of access rights. Such actions may result in immediate license termination without notice.

4. Intellectual Property

All Resources are and shall remain the exclusive intellectual property of WebOcean. This Agreement does not transfer any ownership rights to you. All rights not expressly granted herein are reserved by WebOcean.

5. Updates and Support

WebOcean may, at its discretion, provide updates, enhancements, bug fixes, or support services. WebOcean is under no obligation to do so, and availability of updates or support may depend on your subscription plan or license tier.

6. Disclaimer and Limitation of Liability

a. The Resources are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

b. To the maximum extent permitted by law, WebOcean shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of—or inability to use—the Resources.

In such cases, no refund will be issued, and work completed may be retained.

7. Termination

This Agreement remains effective until terminated. WebOcean reserves the right to suspend or terminate this license at any time if you breach any term of this Agreement. Upon termination, you must immediately cease all use of the Resources and permanently delete all copies in your possession or control.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any legal action arising under this Agreement shall be brought exclusively in the state or federal courts located in Sheridan, Wyoming.
